07/09 17:57 3D Systems Agrees to Acquire Majority Interest in EOS GmbH

VALENCIA, Calif., July 9 /PRNewswire/ -- 3D Systems Corporation
(Nasdaq-NMS: TDSC) and Carl Zeiss Jena GmbH of Germany, a member of the
Carl Zeiss Group, today announced the signing of a definitive agreement
for 3D to acquire a majority interest in a Zeiss subsidiary, EOS GmbH, a
major European supplier of rapid prototyping systems.

As announced on June 26, the agreement provides for 3D to acquire Zeiss'
75.1% stake in EOS. However, it is subject to the expiration on or about
August 11 of the minority investor's preemptive right to acquire the
majority interest. Terms of the transaction were not disclosed.

EOS is headquartered near Munich and has installed more than 125 rapid
prototyping systems, based on stereolithography and laser sintering
technologies. The company, with annual revenue of approximately $20
million, does not currently offer its products in the United States. 3D
Systems' prototyping systems are sold world-wide, and are based on
stereolithography and multi-jet modeling technologies.
