Technology
 and Marketing Agreement; Alliance Delivers Complete Plastics CAE Solution to
                            Euclid Quantum Customers

LOUISVILLE, Ky.--(BUSINESS WIRE)--June 25, 1998--C-MOLD, a global supplier
of advanced and desktop plastics CAE applications, and Matra Datavision, a
worldwide provider of CAD/CAM/CAE solutions, today announced a
comprehensive agreement in which Matra Datavision will transfer the
customers of its current plastics simulation products to C-MOLD(R)
software.

By complementing the solutions, Euclid Quantum users will benefit from C-
MOLD's best-in-class technologies to help users optimize plastic part and
mold designs and bolster manufacturing efficiency. According to the terms
of the agreement, the technology transfer will be effective immediately and
includes the provision of implementation, training, and related customer
support services.

The agreement will enable manufacturers using Euclid Quantum to reduce
time-to-market and build higher quality products as a result of
implementing a more robust CAE application. C-MOLD facilitates 10 major
molding processes including injection molding, gas assist molding, blow
molding, and microchip encapsulation. This advanced suite of solutions will
enable manufacturers to become more competitive in the fast growing global
plastics industry. As a team, the two leading software providers assure
smooth transition and on-going training and customer support services
throughout the technology transfer process.

The terms of the agreement include:

-- Matra Datavision will market C-MOLD products to new and existing Euclid
Quantum customers.
-- Matra Datavision will create a European competence center for training
and plastic transformation process validation in France in cooperation with
the Pole Europeen de Plasturgie. This center will be networked with many
global research institutes and with the C-MOLD training network.
